CSDD, protection of human rights and the environment in the supply chain

Eric Mayer and Jens-Uwe Rügenhagen of GSK Stockmann look at the recent draft of CSDD (Corporate Sustainability Due Diligence Directive) and the new obligations for companies in the field of human rights and environmental protection.

The draft of the Corporate Sustainability Due Diligence Directive (CSDD), which is part of a different framework than the European Directive on Corporate Sustainability Reporting (CSRD), approved at the end of 2022, will enter̀ into force on 1 January 2024 and will requirè large companies and listed companies to publish regular reports on the social and environmental risks they face and the impact of their activities on people and the environment.

The European Commission’s initial proposal – which envisaged the applicability of the CSDD Directive to EU-based companies with more than 500 employees and a global turnover of at least €150 million per year, as well as to companies̀ from third countries with the same minimum number of employees and a turnover generated in the EU of €150 million per year – the European Parliament responded with a very different counter-proposal from the Commission, followed by a further counter-proposal from the European Council. At the end of February 2023, the CSDD proposal entered the conciliation phase between the three EU institutions, which is expected to be concluded at the end of this calendar year. As a result, EU Member States are likely to be called upon to transpose the final CSDD by the end of 2025.

Direttiva CSDD, tutela dei diritti umani e ambiente nella supply chain internazionale

Eric Mayer e Jens-Uwe Rügenhagen di GSK Stockmann analizzano la recente bozza della CSDD (Corporate Sustainability Due Diligence Directive) e i nuovi obblighi per le aziende nel campo dei diritti umani e della tutela ambientale.

La bozza della Corporate Sustainability Due Diligence Directive (CSDD), che si inserisce in un quadro diverso dalla Direttiva europea sul Corporate Sustainability Reporting (CSRD), approvata alla fine del 2022, entrerà̀ in vigore il 1° gennaio 2024 e richiederà̀ alle grandi imprese e alle società̀ quotate in borsa di pubblicare regolarmente relazioni sui rischi sociali e ambientali che affrontano e sull’impatto delle loro attività̀ sulle persone e sull’ambiente.

Alla proposta iniziale della Commissione europea – che prevedeva l’applicabilità della direttiva CSDD alle società con sede nell’UE con più di 500 dipendenti e un fatturato globale di almeno 150 milioni di euro all’anno, nonché alle società̀ di Paesi terzi con lo stesso numero minimo di dipendenti e un fatturato generato nell’UE di 150 milioni di euro all’anno – il Parlamento europeo ha risposto con una controproposta molto diversa da parte della Commissione, seguita da un’ulteriore controproposta del Consiglio europeo. Alla fine di febbraio 2023, la proposta di CSDD è entrata nella fase di conciliazione tra le tre istituzioni dell’UE, che dovrebbe concludersi alla fine di quest’anno solare. Di conseguenza, gli Stati membri dell’UE saranno probabilmente chiamati a recepire il CSDD definitivo entro la fine del 2025.
